The '''Satyam Computer Services accounts''' concealed what became known as "India's Enron." Satyam, based in Hyderabad, was one of the country's largest IT services companies, listed in Mumbai and on the New York Stock Exchange, with tens of thousands of employees and blue-chip clients around the world. On January 7, 2009, its founder and chairman, B. Ramalinga Raju, confessed in a letter to the board that the company's accounts had been falsified for years. Cash and bank balances of more than 5,000 crore rupees, about $1 billion at the time, did not exist, and revenues and profits had been inflated. The confession wiped out most of the company's market value in a day and shook confidence in Indian corporate governance. Raju and others were later convicted.

== The claim ==
Satyam was founded in 1987 by Raju and his brother-in-law and became one of the leading companies in India's fast-growing IT outsourcing industry. Its financial statements showed strong revenue growth, healthy profit margins and large cash reserves. It won awards for corporate governance, including a Golden Peacock Award in 2008. Its accounts were audited by PricewaterhouseCoopers.

== Origin ==
In his confession letter, Raju said that what had started as a marginal gap between actual and reported operating profit had grown over the years to unmanageable proportions as the company grew. Inflated revenues and profits required fictitious cash to balance the books. He wrote that it was like riding a tiger, not knowing how to get off without being eaten.

The fraud came to light after a failed attempt in December 2008 to acquire two companies, Maytas Properties and Maytas Infra, controlled by members of Raju's family, for about $1.6 billion. Investors objected strongly, the deal was withdrawn, and independent directors resigned. Analysts later suggested the acquisitions may have been an attempt to replace fictitious cash with real assets. In late December the World Bank also barred Satyam from contracts for eight years over alleged improper benefits to bank staff and lack of documentation.

== What the evidence shows ==
Raju's letter stated that:
* Of about 5,361 crore rupees in cash and bank balances reported on the balance sheet as of September 30, 2008, about 5,040 crore rupees did not exist.
* Accrued interest was nonexistent.
* Revenues and operating margins had been overstated.
* Liabilities had been understated.

Investigations by India's Central Bureau of Investigation and the Securities and Exchange Board of India found that the fraud involved thousands of fake invoices, forged bank statements and fixed deposit receipts, and falsified records. Investigators reported that the total size of the fraud was larger than the original confession, often cited at about 7,000 crore rupees or more. They also found that Raju and family members had sold or pledged shares while the inflated accounts propped up the share price.

Satyam's share price fell by about 78 percent on the day of the confession. The Indian government replaced the board with its own nominees to keep the company operating and protect jobs and clients. In April 2009, Tech Mahindra won an auction to acquire a controlling stake. The company became Mahindra Satyam and was later merged into Tech Mahindra.

In April 2015 a special court in Hyderabad convicted Raju, his brother Rama Raju, the former chief financial officer and others of criminal conspiracy, cheating, forgery and other offenses. Raju was sentenced to seven years in prison; the sentences were later suspended pending appeal. SEBI barred Raju and others from the securities market and ordered them to return illegal gains. Regulators also acted against the auditors. In 2011 the US Securities and Exchange Commission and the Public Company Accounting Oversight Board fined PwC affiliates in India $7.5 million, and in 2018 SEBI barred PwC network firms from auditing listed companies in India for two years, an order later set aside on appeal.

== Consequences ==
The Satyam case prompted reforms in Indian corporate governance. The Companies Act of 2013 strengthened rules on independent directors, audit committees and auditor rotation, and created the National Financial Reporting Authority to oversee auditors. It also encouraged greater scrutiny of related-party transactions.

== Why it persists ==
The Satyam fraud demonstrates several patterns common to accounting frauds:

* '''Small lies grow.''' Raju said the deception began with a small gap that compounded over time.
* '''Cash can be faked.''' Auditors relied on bank confirmations and documents that were forged rather than confirming balances directly with banks.
* '''Governance awards are not safeguards.''' Satyam was praised for its governance shortly before the collapse.
* '''Related-party deals as warning signs.''' The proposed purchase of family-controlled companies triggered the unraveling.

== Lessons for readers ==
* Large cash balances combined with little interest income can be a warning sign.
* Ask whether auditors obtained confirmations directly from banks.
* Treat proposed deals between a company and its founders' family businesses with caution.
* Awards and rankings are not evidence of honest accounts.
* Fraud often begins small and escalates as the gap becomes harder to close.
